1. Introduction
Welcome to Bronze Technologies, Inc. ("Bronze," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our job board and hiring platform, including any content, functionality, and services offered on or through bronze.app (the "Website" or the "Service").
By accessing or using the Website, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, you must not access or use the Website.
2. Definitions
"User" refers to anyone who accesses or uses the Website, including Employers and Candidates.
"Employer" refers to users who register to post job listings and seek candidates.
"Candidate" refers to users who register to search for job opportunities and apply for positions.
"User Content" refers to any content submitted, posted, or displayed by Users on the Website, including profiles, resumes, job listings, messages, and feedback.
"Interviewed Candidate" refers to a Candidate whom an Employer has contacted through the Website to schedule an interview.
3. Eligibility
By using the Website, you represent and warrant that:
- You are at least 18 years of age or the legal working age in your jurisdiction.
- You have the legal capacity to enter into a binding contract.
- You are not prohibited by law from using our services.
- If you are using the Service on behalf of an organization, you have the authority to bind that organization to these Terms.
4. User Accounts
4.1 Account Registration
- Employers and Candidates must create an account to access certain features of the Website.
- You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
4.2 Account Security
- You are responsible for safeguarding your account credentials.
- You agree not to disclose your password to any third party.
- You must immediately notify us at support@bronze.app of any unauthorized use of your account.
4.3 Account Responsibility
You are responsible for all activities that occur under your account. Bronze is not liable for any loss or damage arising from your failure to comply with these obligations.
5. Description of Services
Bronze provides a platform that connects Employers and Candidates. Employers can post job listings, and Candidates can search for and apply to job opportunities. Additional features may include messaging, scheduling interviews, and accessing screening tools.
6. Acceptable Use Policy
6.1 Prohibited Conduct
You agree not to engage in any of the following prohibited activities:
- Posting false, misleading, or fraudulent information.
- Circumventing or attempting to circumvent our payment system.
- Contacting Candidates outside the Website to avoid fees.
- Using the Service for any unlawful or unauthorized purpose.
- Harassing, abusing, or harming another person.
- Uploading viruses or malicious code.
- Interfering with or disrupting the integrity or performance of the Website.
- Scraping, crawling, or using other automated means to access the Website without our express written permission.
6.2 Compliance with Laws
You agree to comply with all applicable laws and regulations, including but not limited to employment laws, anti-discrimination laws, and data protection regulations.
7. User Content and Intellectual Property
7.1 User Content
- By submitting User Content, you grant Bronze a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and perform the User Content in connection with the Service.
- You represent and warrant that you have all rights necessary to grant us these rights and that your User Content does not infringe any third-party rights.
7.2 Monitoring and Removal
Bronze reserves the right, but is not obligated, to monitor, remove, or disable access to any User Content at its sole discretion.
7.3 Intellectual Property Rights
All intellectual property rights in the Website and the Service are owned by Bronze or its licensors. You may not copy, modify, distribute, sell, or lease any part of our Service or included software.
8. Fees and Payment Terms
8.1 Pricing Model
Employers are charged $20 per Interviewed Candidate. Posting jobs is free up to a limit of three active job postings. To post unlimited jobs and access additional features, Employers must upgrade to a paid plan.
8.2 Payment Process
- Billing Cycle: Charges are incurred immediately when an Employer initiates contact with a Candidate to schedule an interview through the Website.
- Payment Methods: Employers must provide valid payment information (e.g., credit card details) before accessing paid features.
- Authorization: By providing payment information, you authorize Bronze to charge all fees to your designated payment method.
8.3 Late Payments and Collection Costs
If payment is not received when due, Bronze reserves the right to suspend or terminate your access to the Service. You are responsible for all costs associated with collecting delinquent amounts, including legal fees.
8.4 Taxes
All fees are exclusive of taxes, and you are responsible for paying any applicable taxes.
8.5 Refund Policy
All charges are non-refundable, except in cases of technical errors attributable to Bronze. Refund requests must be submitted in writing to support@bronze.app within 30 days of the charge date.
8.6 Disputed Charges
If you dispute any charges, you must notify us in writing within 30 days of the charge date. Failure to dispute charges within this period will result in the waiver of your claims relating to the disputed charges.
9. Privacy and Data Protection
Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. Employers agree to comply with all applicable data protection laws concerning the personal data of Candidates.
10. Confidentiality
Definition: "Confidential Information" includes any non-public information disclosed by one party to the other, either directly or indirectly.
Obligations: Both parties agree to maintain the confidentiality of the Confidential Information and not to disclose it to any third party without prior written consent.
Exclusions: Confidential Information does not include information that is publicly available, already in possession of the receiving party, or independently developed.
11. Disclaimers and Warranties
11.1 No Warranty
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Bronze disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
11.2 No Guarantee of Results
Bronze does not guarantee that Employers will find suitable Candidates or that Candidates will find suitable job opportunities through the Service.
12. Limitation of Liability
To the fullest extent permitted by law, Bronze shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses. Bronze's total liability for any claims arising from or related to the Service is limited to the amounts you have paid to Bronze in the three (3) months preceding the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Bronze, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:
- Your use or misuse of the Service.
- Your violation of these Terms.
- Your violation of any rights of another party, including Candidates or Employers.
- Your violation of any applicable laws or regulations.
14. Termination
14.1 Termination by You
You may terminate your account at any time by contacting support@bronze.app. Termination is effective upon our processing of your request.
14.2 Termination by Bronze
We may suspend or terminate your access to the Service at our sole discretion, without notice, for:
- Violation of these Terms.
- Non-payment of fees.
- Conduct that harms other Users or the integrity of the Service.
14.3 Effects of Termination
Upon termination, all licenses and rights granted to you in these Terms will cease. Any outstanding fees will become immediately due.
15. Dispute Resolution and Arbitration
15.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
15.2 Arbitration Agreement
Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.
15.3 Arbitration Location
The arbitration will take place in Wilmington, Delaware, unless otherwise agreed by both parties.
15.4 Class Action Waiver
All claims must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.
15.5 Exceptions
Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction for any violation of intellectual property rights.
16. Modifications to the Service
Bronze reserves the right to modify or discontinue, temporarily or permanently, the Service or any features or portions thereof without prior notice.
17. Changes to the Terms
We may update or modify these Terms at any time. Significant changes will be communicated to you via email or by posting a notice on the Website. Changes will become effective 30 days after they are posted. Your continued use of the Service after the effective date constitutes your acceptance of the new Terms.
18. Third-Party Services
The Service may contain links to third-party websites or services that are not owned or controlled by Bronze. Bronze has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services.
19. Feedback and Suggestions
If you submit feedback or suggestions about our Service, we may use your feedback or suggestions without obligation to you.
20. Miscellaneous
20.1 Entire Agreement
These Terms, along with the Privacy Policy, constitute the entire agreement between you and Bronze regarding the Service.
20.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
20.3 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without Bronze's prior written consent. Bronze may assign or transfer these Terms at its sole discretion without restriction.
20.4 Waiver
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term, and Bronze's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
20.5 Force Majeure
Bronze shall not be liable for any failure to perform its obligations hereunder where the failure results from any cause beyond Bronze's reasonable control, including but not limited to mechanical, electronic, or communications failure or degradation.
20.6 Notices
All notices under these Terms shall be in writing and will be deemed to have been duly given when received, if personally delivered or sent by certified or registered mail, return receipt requested; when receipt is electronically confirmed, if transmitted by facsimile or email; or the day after it is sent if sent for next-day delivery by recognized overnight delivery service.
